Conduct and Anti-Harassment

Each party undertakes that it has in place, and shall maintain and keep under regular review, comprehensive policies against harassment (including, without limitation, sexual harassment) in accordance with industry best practices, has used reasonable efforts to ensure that all of its personnel have read and agreed to comply with such policies, and has used reasonable efforts to ensure that all such personnel have received complete and adequate training regarding the same. Each party shall ensure that its personnel treat the other party’s personnel with courtesy and professionalism when interacting in connection with this Agreement, and shall not engage in harassment, bullying, or discriminatory conduct. Where a party reasonably believes this provision has been breached, it may request that the individual concerned be removed from the account, and the other party shall comply promptly. Each party shall promptly and proportionately investigate any concern raised in good faith relating to harassment and other conduct relevant to this provision.
